An international iGaming company is growing and are keen to hire an experienced Legal Counsel to work on a hybrid basis on Malta in beautiful offices.

 

 

About the Role

We are seeking a qualified lawyer to assume responsibility for the legal function and to act as Key Function Holder for Legal matters in accordance with Malta Gaming Authority requirements.

Responsibilities

  • Legal Oversight and Advice
  • Provide legal advice to senior management on matters relating to the Malta Gaming Act, subsidiary legislation, and other applicable laws.
  • Interpret legal and regulatory requirements and assess their impact on the company’s activities and contractual arrangements.
  • Support senior management in ensuring that business activities are structured in a legally sound manner.
  • Regulatory and Licensing Support
  • Support legal aspects of MGA licensing, renewals, and material change notifications.
  • Assist with licensing and regulatory matters in other EU jurisdictions where applicable.
  • Experience in handling or supporting gaming or regulated licenses in other EU jurisdictions is considered an advantage.
  • Review and advise on regulatory communications and submissions from a legal perspective.

 

  • Contractual and Corporate Matters
  • Draft, review, and negotiate commercial contracts, including supplier, platform, game provider, and payment related agreements.
  • Oversee legal aspects of outsourcing arrangements and ensure alignment with MGA outsourcing requirements.
  • Support corporate governance matters, including board documentation and resolutions.

 

  • Company Secretary Responsibilities
  • Act as Company Secretary of the licensee.
  • Maintain statutory registers, corporate records, and filings in accordance with Maltese company law.
  • Support board and shareholder meetings, including preparation of agendas, minutes, and resolutions.
  • Ensure timely statutory filings and corporate compliance obligations are met.
  • Risk Management and Dispute Handling
  • Identify and advise on legal risks arising from operations, commercial arrangements, and regulatory developments.
  • Support the handling of legal disputes, claims, and engagement with external legal counsel, where applicable.
  • Ensure appropriate legal documentation and records are maintained.
  • Coordination and Segregation of Duties
  • Coordinate with Compliance, MLRO, Gaming Operations, and DPO functions to ensure legal alignment.
  • Support internal stakeholders by providing legal input while maintaining appropriate segregation of duties.

Qualifications

  • Qualified lawyer admitted to practice in Malta or another EU jurisdiction.
  • Minimum of two years post qualification experience in gaming.
  • Working knowledge of the Malta Gaming Act and relevant EU regulatory frameworks.
  • Experience supporting or managing licensing matters in other EU jurisdictions is an advantage.
  • Experience acting as Company Secretary or supporting company secretarial functions is an advantage.

Required Skills

  • Strong legal analysis and drafting skills.
  • High level of integrity and professional judgment.
  • Clear and concise communication skills in English.
  • Ability to operate independently in a regulated environment.

Preferred Skills

  • Must meet MGA fit and proper requirements for Key Function Holders.
  • Subject to ongoing suitability assessments by the MGA.
