A professional listed iGaming business is looking to hire a brand new role of Corporate Governance Officer.
This role will support board and committee operations, manage corporate filings, and contribute to the company’s governance and disclosure obligations across Canada, the U.S., and Europe.

Board & Committee Support
- Coordinate and manage all Board of Directors and Committee meetings, including scheduling, agendas, meeting materials, and accurate minute-taking.
- Ensure compliance with listing exchange rules (e.g., TSX/Nasdaq), securities laws, and corporate governance best practices.
- Advise the Board and senior executives on governance obligations and assist with director onboarding and ongoing training.
- Maintain the company’s governance framework and ensure adherence to applicable laws, regulations, and internal policies.
- Support annual meeting preparation, including proxy circulars, shareholder engagement, and related filings.
- Keep abreast of changes in governance legislation and advise stakeholders on potential impact.
- Maintain corporate records and registers for the parent company and all subsidiaries across jurisdictions.
- Coordinate incorporations, dissolutions, amendments, and corporate filings (e.g., annual returns, name changes, share issuances).
- Liaise with external counsel and registered agents in relevant jurisdictions.
- Oversee timely and accurate public disclosures, including SEDAR+/EDGAR filings, insider filings (e.g., SEDI), and stock exchange notifications.
- Ensure compliance with continuous disclosure obligations, insider trading policies, and blackout periods.
- Support the CFO and legal team in drafting and filing the annual information form (AIF), MD&A, and other disclosure documents.
- Act as liaison between the company and its shareholders, registrar and transfer agent, and relevant regulatory bodies.
- Support shareholder communications and the administration of equity incentive plans.
- 3+ years in a corporate secretarial, legal, or governance role at a public company
- Familiarity with corporate law in multiple jurisdictions; regulated industry experience (e.g., gaming, fintech, tech) is an asset
- Chartered Governance Professional (CGP), qualified attorney, or equivalent designation preferred
- Excellent organisational, communication, and stakeholder management skills
- High level of professionalism, discretion, and attention to detail
